SECRETARIAT: THREE-YEAR FIXED TERM CONTRACT (TWO POSTS)
CEF is a
Schedule 2 state owned diversified energy company reporting to the Department
of Mineral & Petroleum Resources. The Mandate of CEF is to contribute to
the security of energy supply of South Africa and the Region through
exploration, acquisition, development, marketing and strategic partnership. It
is derived from the CEF Act (No 38 of 1977) and the Ministerial directives
issued thereafter.
JOB PURPOSE:
The Company Secretariat is responsible for ensuring
the efficient administration of the subsidiaries’ corporate governance,
compliance, and regulatory frameworks under the guidance and quality assurance
of the Senior COSEC.
REQUIRED
MINIMUM QUALIFICATIONS AND EXPERIENCE:
- LLB degree (NQF 8) / Company Secretary or
equivalent qualification.
- A minimum of 5 years’ experience in secretarial, governance or
compliance role.
- Experience providing entity-level governance
support
- Experience in public
sector is preferred
- Registered Chartered
Secretary or equivalent is a requirement
- Admission Certificate
as an Attorney or Advocate will serve as an added advantage
- Master’s degree (NQF 9) in Law or equivalent qualification
will serve as an added advantage.
DESIRED ADDITIONAL SKILLS/ COMPETENCIES:
- Strong understanding of Board/Committee
administration.
- Knowledge of secretariat processes and
statutory reporting.
- Understanding of governance documentation
protocols.
- Time management and pay attention to detail.
- Experience on reporting, record keeping and assertiveness.
- Interpersonal, communication skills and legal
researching skills.
- Drafting high-quality minutes at entity level.
- Committee coordination and compliance tracking.
KEY PERFORMANCE INDICATORS:
Board and committee support
- Under the guidance and quality
assurance of the senior COSEC:
(i) Organize
and coordinate Board meetings, including preparing agendas, distributing
documentation, and recording minutes.
(ii) Liaise
with management to prepare updated information on outstanding action items so
that an update is provided in meetings.
(iii) Follow
up on matters arising from Board and committees and guide Board, Sub Committees
and management on protocols required prior to submissions sent through to the board.
(iv) Affix
minutes of meeting and resolutions permanently in CEF’s minute book and obtain
sign off from chairperson of the respective meetings.
(v) Completion
of annual returns for submission to authorities.
(vi) Manage
and maintain statutory records of CEF and subsidiaries.
(vii) Escalate
governance interpretation queries to Senior COSEC and implement governance
instructions as directed.
Stakeholder communication and support
- Serve as a communication
conduit between management and the assigned Boards/Committees to ensure
effective flow of governance information.
Record-keeping and
documentation
- Maintain accurate and secure
corporate records, including Board resolutions, shareholder agreements,
contracts, and governance documents.
- Ensure compliance with
record-keeping laws, particularly regarding confidentiality and document
retention.
Reporting
- Responsible for reviewing
reports for submission.
- Responsible for compiling
governance reports.
- Submit all reports and
registers to Senior COSEC for quality assurance before Board circulation
